1. Acceptance of Terms

By accessing or using the Sonaloom website, application, or services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, you may not access the Service. These Terms apply to all visitors, users, and others who access or use the Service.

2. Description of Service

Sonaloom provides an AI-powered platform for generating, editing, and sharing music ("Generated Content"). The Service includes various tools and features that allow users to create unique musical compositions using artificial intelligence algorithms.

3. User Accounts

To access certain features of the Service, you may be required to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

4. Intellectual Property & Content Ownership

4.1 Sonaloom Intellectual Property

The Service and its original content (excluding Content provided by users), features, and functionality are and will remain the exclusive property of Sonaloom and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries.

4.2 User Generated Content

Subject to your compliance with these Terms, you own all rights, title, and interest in and to the specific musical compositions you generate using the Service ("Generated Content"), provided that you have a paid subscription plan active at the time of generation.

If you are using the Service under a free plan, Sonaloom retains ownership of the Generated Content, and you are granted a non-exclusive, non-commercial license to use the Generated Content for personal listening and sharing on social media, with appropriate attribution to Sonaloom.

By creating Generated Content, you grant Sonaloom a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, and distribute your Generated Content for the purpose of operating, improving, and promoting the Service.

5. Subscription Plans & Payments

Sonaloom offers various subscription plans. By selecting a paid plan, you agree to pay the fees indicated for that service. Payments will be charged on a pre-pay basis on the day you sign up for a Premium Service and will cover the use of that service for a monthly or annual subscription period as indicated.

Unless you notify Sonaloom before the end of the applicable subscription period that you want to cancel a paid plan, your subscription will automatically renew and you authorize us to collect the then-applicable annual or monthly subscription fee (as well as any taxes) using any credit card or other payment mechanism we have on record for you.

6. Prohibited Uses

You agree not to use the Service:

  • In any way that violates any applicable national or international law or regulation.
  • To generate content that is infringing, libelous, defamatory, obscene, pornographic, abusive, or otherwise offensive.
  • To impersonate or attempt to impersonate Sonaloom, a Sonaloom employee, another user, or any other person or entity.
  • To engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Service, or which, as determined by us, may harm Sonaloom or users of the Service or expose them to liability.
  • To reverse engineer, decompile, disassemble, or otherwise attempt to derive specific source code or algorithms from the Service.

7. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

8. Limitation of Liability

In no event shall Sonaloom, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage.

9. Disclaimer

Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance.

10. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
